Welcome to Platform for Social Impact ("PSI," "we," "our," or "us"). By accessing or using our website (the "Site") and related services, you agree to these Terms of Use (the "Terms"). Please read them carefully.
01Acceptance of Terms
By accessing or using the Site, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Site. If you are accessing the Site on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
02About PSI
Platform for Social Impact is a Puerto Rico–based platform that connects investment to community-based solutions to expand economic mobility. The Site provides information about our mission, programs, partners, and opportunities to engage with our work. Information on the Site is intended for general informational purposes only.
03Permitted Use
You may use the Site for lawful, personal, educational, professional, or philanthropic purposes consistent with PSI's mission. You may view, download, and print content for your own non-commercial reference, provided you retain all copyright and proprietary notices.
04Prohibited Conduct
You agree not to:
- Use the Site for any unlawful, fraudulent, or harmful purpose
- Attempt to access non-public areas, other users' information, or any security features of the Site
- Interfere with the operation of the Site, overload infrastructure, or introduce malicious code
- Impersonate another person, entity, or misrepresent any affiliation
- Scrape, systematically download, reverse-engineer, or republish Site content without prior written permission
- Use our contact forms, email addresses, or other channels to send spam, unsolicited marketing, or harassing content
- Violate any applicable law, regulation, or third-party right
05Intellectual Property
Except where otherwise noted, all content on the Site, including text, graphics, logos, images, videos, software, and data, is owned by or licensed to PSI and is protected by United States and international copyright, trademark, and other intellectual property laws. Any use of Site content other than the permitted use described above requires PSI's prior written permission.
The PSI name, logo, and related marks are trademarks of Platform for Social Impact. Partner names, logos, and program names appearing on the Site (including Vimenti, Project Makers, Instituto del Desarrollo de la Juventud, Vidalus, and any Recompete branding) are the property of their respective owners and are used with permission.
06Your Submissions
When you submit information through the Site, including contact-form content, résumés, cover letters, messages, and any other materials, you:
- Represent that the information is accurate and that you have the right to provide it
- Grant PSI a non-exclusive, royalty-free, worldwide, sublicensable license to use, reproduce, and process the submission for the purposes described in our Privacy Policy
- Acknowledge that PSI is under no obligation to act on any submission, respond, or maintain confidentiality beyond what is stated in the Privacy Policy
Please do not submit confidential, sensitive, or proprietary information unless PSI has specifically requested it under a separate agreement.
07Third-Party Links
The Site may link to third-party websites, including partner organizations and government resources. PSI does not control those sites and is not responsible for their content, products, services, or practices. Links are provided for convenience and do not constitute endorsement.
08No Investment Advice or Solicitation
Important notice for prospective investors. Information on the Site, including descriptions of the Capital Stack, the Revolving Loan Fund, place-based vehicles, and other investment opportunities, is provided for informational purposes only. Nothing on the Site constitutes financial, investment, legal, tax, or other professional advice, and nothing on the Site constitutes an offer to sell or a solicitation of an offer to buy any security, fund interest, or other financial product.
Any actual offering will be made solely through formal offering documents (such as a private placement memorandum or term sheet) delivered to eligible investors in accordance with applicable securities laws. Past performance, repayment rates, and projected returns are not guarantees of future results. Investment involves risk, including the possible loss of principal. You should consult your own professional advisors before making any investment decision.
09Donations and Partnerships
Charitable contributions, partnership commitments, naming opportunities, and investor engagements are subject to separate written agreements and applicable laws, including tax and nonprofit regulations. Submitting an expression of interest through the Site does not create a binding commitment on either party.
10Disclaimers
The Site and all content are provided "as is" and "as available" without warranties of any kind, express or implied. To the fullest extent permitted by applicable law, PSI disclaims all warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, title, and non-infringement. PSI does not warrant that the Site will be uninterrupted, error-free, secure, or free of viruses or other harmful components.
11Limitation of Liability
To the fullest extent permitted by applicable law, in no event will PSI, its directors, officers, employees, contractors, agents, or partners be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages: including loss of profits, revenue, data, goodwill, or other intangible losses, arising out of or related to your use of the Site or any content on it, even if PSI has been advised of the possibility of such damages.
12Indemnification
You agree to defend, indemnify, and hold harmless PSI and its directors, officers, employees, contractors, agents, and partners from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your breach of these Terms, your misuse of the Site, or your violation of any law or third-party right.
13Governing Law and Jurisdiction
These Terms are governed by the laws of the Commonwealth of Puerto Rico and the United States of America, without regard to conflict-of-laws principles. Any dispute arising from or related to these Terms or your use of the Site will be resolved exclusively in the state or federal courts sitting in San Juan, Puerto Rico, and you consent to the personal jurisdiction of those courts.
14Termination
PSI may suspend or terminate your access to the Site at any time and without notice for any reason, including your violation of these Terms. Provisions that by their nature should survive termination (including intellectual property, disclaimers, limitations of liability, indemnification, and governing law) will survive.
15Changes to these Terms
PSI may update these Terms from time to time. Material changes will be reflected in the "Effective Date" above. Continued use of the Site after changes take effect indicates acceptance of the revised Terms.

01Aceptación de los Términos
Al acceder o usar el Sitio, aceptas estar sujeto a estos Términos y a nuestra Política de Privacidad. Si no estás de acuerdo, no uses el Sitio. Si accedes al Sitio en nombre de una organización, representas que tienes autoridad para obligar a esa organización a estos Términos.
02Sobre PSI
Platform for Social Impact es una plataforma con sede en Puerto Rico que conecta la inversión con soluciones basadas en la comunidad para expandir la movilidad económica. El Sitio proporciona información sobre nuestra misión, programas, aliados y oportunidades para colaborar con nuestro trabajo. La información en el Sitio es solo para propósitos informativos generales.
03Uso Permitido
Puedes usar el Sitio para propósitos lícitos, personales, educativos, profesionales o filantrópicos consistentes con la misión de PSI. Puedes ver, descargar e imprimir contenido para tu propia referencia no comercial, siempre que conserves todos los avisos de derechos de autor y de propiedad.
04Conducta Prohibida
Aceptas no:
- Usar el Sitio para cualquier propósito ilegal, fraudulento o dañino
- Intentar acceder a áreas no públicas, información de otros usuarios o funciones de seguridad del Sitio
- Interferir con la operación del Sitio, sobrecargar la infraestructura o introducir código malicioso
- Hacerse pasar por otra persona o entidad, o tergiversar cualquier afiliación
- Extraer, descargar sistemáticamente, aplicar ingeniería inversa o republicar contenido del Sitio sin permiso previo por escrito
- Usar nuestros formularios de contacto, direcciones de correo u otros canales para enviar spam, mercadeo no solicitado o contenido acosador
- Violar cualquier ley, regulación o derecho de terceros aplicable
05Propiedad Intelectual
Salvo que se indique lo contrario, todo el contenido del Sitio, incluyendo texto, gráficos, logotipos, imágenes, videos, software y datos, es propiedad de o licenciado a PSI y está protegido por las leyes de derechos de autor, marca registrada y otras leyes de propiedad intelectual de los Estados Unidos e internacionales. Cualquier uso del contenido del Sitio distinto al uso permitido descrito arriba requiere permiso previo por escrito de PSI.
El nombre, logotipo y marcas relacionadas de PSI son marcas registradas de Platform for Social Impact. Los nombres, logotipos y nombres de programas de aliados que aparecen en el Sitio (incluyendo Vimenti, Project Makers, Instituto del Desarrollo de la Juventud, Vidalus y cualquier marca Recompete) son propiedad de sus respectivos dueños y se usan con permiso.
06Tus Envíos
Cuando envías información a través del Sitio, incluyendo contenido de formularios de contacto, currículos, cartas de presentación, mensajes y cualquier otro material, tú:
- Representas que la información es precisa y que tienes derecho a proporcionarla
- Otorgas a PSI una licencia no exclusiva, libre de regalías, mundial y sublicenciable para usar, reproducir y procesar el envío para los propósitos descritos en nuestra Política de Privacidad
- Reconoces que PSI no tiene obligación de actuar sobre ningún envío, responder o mantener confidencialidad más allá de lo establecido en la Política de Privacidad
Por favor no envíes información confidencial, sensible o propietaria a menos que PSI la haya solicitado específicamente bajo un acuerdo separado.
07Enlaces a Terceros
El Sitio puede enlazar a sitios web de terceros, incluyendo organizaciones aliadas y recursos gubernamentales. PSI no controla esos sitios y no es responsable de su contenido, productos, servicios o prácticas. Los enlaces se proveen por conveniencia y no constituyen aval.
08Sin Asesoramiento ni Solicitación de Inversión
Aviso importante para inversionistas prospectivos. La información en el Sitio, incluyendo descripciones de la Estructura de Capital, el Fondo Rotativo de Préstamos, vehículos basados en el lugar y otras oportunidades de inversión, se provee solo para propósitos informativos. Nada en el Sitio constituye asesoramiento financiero, de inversión, legal, fiscal o profesional, y nada en el Sitio constituye una oferta de venta o solicitación de una oferta de compra de ningún valor, interés en fondos u otro producto financiero.
Cualquier oferta real se hará únicamente a través de documentos formales de oferta (como un memorando de colocación privada u hoja de términos) entregados a inversionistas elegibles de acuerdo con las leyes de valores aplicables. El rendimiento pasado, las tasas de repago y los retornos proyectados no son garantías de resultados futuros. La inversión conlleva riesgo, incluyendo la posible pérdida del capital. Debes consultar a tus propios asesores profesionales antes de tomar cualquier decisión de inversión.
09Donaciones y Alianzas
Las contribuciones caritativas, compromisos de alianzas, oportunidades de naming y acuerdos con inversionistas están sujetos a acuerdos escritos separados y leyes aplicables, incluyendo regulaciones fiscales y de organizaciones sin fines de lucro. Enviar una expresión de interés a través del Sitio no crea un compromiso vinculante para ninguna de las partes.
10Descargos de Responsabilidad
El Sitio y todo su contenido se proveen "tal cual" y "según disponibilidad" sin garantías de ningún tipo, expresas o implícitas. En la máxima medida permitida por la ley aplicable, PSI renuncia a todas las garantías, incluyendo pero no limitadas a las garantías de comerciabilidad, idoneidad para un propósito particular, titularidad y no infracción. PSI no garantiza que el Sitio sea ininterrumpido, libre de errores, seguro o libre de virus u otros componentes dañinos.
11Limitación de Responsabilidad
En la máxima medida permitida por la ley aplicable, en ningún caso PSI, sus directores, oficiales, empleados, contratistas, agentes o aliados serán responsables por daños indirectos, incidentales, consecuentes, especiales, ejemplares o punitivos: incluyendo pérdida de ganancias, ingresos, datos, buena fama u otras pérdidas intangibles, que surjan de o se relacionen con tu uso del Sitio o cualquier contenido en él, incluso si PSI ha sido advertido de la posibilidad de tales daños.
12Indemnización
Aceptas defender, indemnizar y mantener indemne a PSI y sus directores, oficiales, empleados, contratistas, agentes y aliados de cualquier reclamo, responsabilidad, daño, pérdida y gasto (incluyendo honorarios razonables de abogados) que surjan de o se relacionen con tu incumplimiento de estos Términos, tu mal uso del Sitio o tu violación de cualquier ley o derecho de terceros.
13Ley Aplicable y Jurisdicción
Estos Términos se rigen por las leyes del Estado Libre Asociado de Puerto Rico y de los Estados Unidos de América, sin atender a principios de conflicto de leyes. Cualquier disputa que surja de o se relacione con estos Términos o tu uso del Sitio se resolverá exclusivamente en los tribunales estatales o federales con sede en San Juan, Puerto Rico, y consientes a la jurisdicción personal de esos tribunales.
14Terminación
PSI puede suspender o terminar tu acceso al Sitio en cualquier momento y sin previo aviso por cualquier motivo, incluyendo tu violación de estos Términos. Las disposiciones que por su naturaleza deban sobrevivir a la terminación (incluyendo propiedad intelectual, descargos, limitaciones de responsabilidad, indemnización y ley aplicable) sobrevivirán.
15Cambios a estos Términos
PSI puede actualizar estos Términos de vez en cuando. Los cambios materiales se reflejarán en la "Fecha de Vigencia" arriba. El uso continuado del Sitio después de que los cambios entren en vigor indica aceptación de los Términos revisados.
